The Role: Legal Oversight in Venture Capital Transactions
This position is dedicated to managing corporate finance legal matters, with a strong focus on transaction-level execution in venture capital and private equity deals. It is not a litigation role. The Legal Associate will take ownership of drafting, reviewing, negotiating, and finalizing key legal documents, including Shareholders’ Agreements (SHAs), Share Subscription Agreements (SSAs), and service-level contracts. The goal is to secure Artha’s investor rights and protections while ensuring that every investment is legally sound and compliant with all regulatory requirements. This is a role for a proactive, detail-oriented lawyer who thrives in a fast-paced investment environment where precision and timeliness directly influence deal success.
Key Responsibilities
The Legal Associate will manage end-to-end investment agreement processes, ensuring Artha’s commercial and investor rights are protected. This includes reviewing, negotiating, and finalizing SHAs, SSAs, and related contracts; working closely with investment teams on legally compliant transaction structures; and liaising with external counsel for complex governance and rights enforcement matters. They will also draft and review service-level agreements, vendor contracts, and commercial agreements to minimize legal risk. In addition, they will maintain a comprehensive legal tracker, oversee compliance with regulatory obligations, and identify potential legal risks before they escalate. The role also requires high-speed execution of transactional matters under tight deadlines, enabling leadership to focus on only the most critical legal decisions.

Qualifications & Skills
A Bachelor’s degree (LL.B) or Master’s degree (LL.M) in law from a reputed institution is essential, along with bar admission to practice law in India. Candidates should bring a minimum of 4 years’ experience in venture capital, private equity, or corporate finance legal work. Proven expertise in drafting and negotiating SHAs, SSAs, convertible notes, and investment rights agreements is required. Strong skills in contract negotiation, investment structuring, and compliance are a must. The candidate should have excellent business writing skills, the ability to draft enforceable documents, and a structured, execution-oriented work style that prioritizes accuracy and risk management.
Compensation & Benefits
The total annual package for this role is ₹21,00,000, which includes a fixed salary of ₹18,00,000 and an annual retention bonus of ₹3,00,000.
