Key responsibilities

Key Responsibilities: Contract Drafting & Review
Draft, review, and negotiate Non-Disclosure Agreements (NDAs), confidentiality agreements, engagement letters, non-reliance letters, and other commercial contracts.
Support drafting and review of M&A related documentation, including term sheets, shareholders’ agreements and share subscription agreements (SHA/SSA), share purchase agreement (SPA) support documents, side letters, data room documentation, and other ancillary agreements, including assistance with Conditions Precedent (CP) identification and tracking, closing support (CS), and transaction completion requirements.
Assist in ensuring contract language aligns with applicable laws and regulations (Companies Act, FEMA, data protection and privacy requirements, etc.).

Eligibility

Qualification: LLB from a recognised university (LLM preferred but not mandatory).
Experience: of 3–5 years of post-qualification experience in: Contract drafting and review, and Exposure to M&A transactions, NDAs, or transaction support, preferably within law firms, consulting/advisory, or in-house legal teams.
Demonstrated experience in drafting and negotiating NDAs, confidentiality arrangements, commercial contracts, and transaction related documentation.
